Terms of Service

General terms for services provided by Christian Scott / Medienagentur dmp.

Scope

These terms apply to contracts, offers, deliveries and services between Christian Scott / Medienagentur dmp and its customers unless individual agreements provide otherwise.

Services may include consulting, media design, motion graphics, animation, video production, post-production, design services, web design, digital media, AI-assisted media solutions, AI VoiceBots, AI Avatars, creative project development and related services.

Conclusion of contract and scope of services

Offers are non-binding unless expressly marked as binding. A contract is concluded when an offer is accepted, an order confirmation is issued or work begins with the customer's knowledge.

The concrete scope of services results from the offer, order confirmation or service description. Additional work, further correction rounds, source files, raw data, maintenance or broader usage rights are not included unless expressly agreed.

Customer cooperation

The customer must provide all information, materials, approvals, access credentials and decisions required for performance in good time and is responsible for ensuring that supplied content can be lawfully used.

Payment and changes

Fees are based on the agreed offer or billing model and are subject to statutory VAT unless stated otherwise. Invoices are payable within 14 days from the invoice date unless agreed otherwise.

Services beyond the agreed scope are billed separately. This includes additional drafts, correction rounds, changes after approval, additional exports, technical adjustments, meetings or extra effort caused by incomplete materials.

Usage rights

The customer receives the agreed usage rights to final, accepted and fully paid work results. Unless expressly agreed otherwise, the customer receives a simple, non-exclusive, non-transferable right of use for the agreed contractual purpose without territorial or time limitation.

Open project files, raw data, working files, source material, concepts, drafts, prompts, workflows and internal production methods are transferred only if expressly agreed.

AI-assisted services and third-party providers

AI-assisted tools, models, software, plugins, stock materials, fonts, music, hosting providers or other third-party resources may be used where appropriate or agreed. External costs are included only if expressly agreed.

AI-generated content may contain errors, similarities to existing content or legal uncertainties despite careful review. Legal review by a lawyer is not part of the service unless expressly agreed.

Warranty, liability and law

Statutory warranty rights apply to work services. Purely subjective taste deviations are not defects if the work corresponds to the agreed briefing and scope.

Liability is unlimited for intent, gross negligence, injury to life, body or health and mandatory statutory liability. In cases of slight negligence, liability is limited to breaches of material contractual obligations and to foreseeable, typical damage where legally permissible.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, where legally permissible.

Confidentiality, privacy and termination

Both parties must keep confidential information confidential. The contractor processes personal data in accordance with applicable data protection law.

The customer may terminate the order at any time. Services already provided, incurred expenses, reserved capacities and commissioned third-party services must be compensated.
